Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the BharatTrade Copilot platform, including the website at vyaptix.ai and the application at bharattrade.vyaptix.ai(collectively, the “Service”), operated by VyaptIX Technologies LLP, a limited liability partnership registered in India (“VyaptIX”, “we”, “our”). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & Account

You must be at least 18 years old and authorised to bind the organisation you represent. You are responsible for safeguarding your magic-link credentials and for all activity under your account. Notify us promptly at security@vyaptix.ai if you suspect unauthorised access.

2. The Service

BharatTrade Copilot is a software-as-a-service compliance copilot for Indian exporters. It helps you classify goods, evaluate Free Trade Agreement (FTA) eligibility, draft Shipping Bills, estimate RoDTEP entitlements, compute CBAM embedded emissions, and generate EUDR Due Diligence Statements. Outputs are advisory — you remain solely responsible for the accuracy of your customs declarations and regulatory filings, and must review every artefact with your Customs House Agent (CHA), CBAM Authorised Declarant, or competent EU operator before submission to any government portal.

3. Subscription & Fees

We offer Starter (₹4,999/month), Pro (₹14,999/month), and Enterprise plans, each with usage quotas published on our pricing page. Fees are charged in advance and are non-refundable except as required by law. A 14-day free trial is available; no card is required to start. Overage above your plan’s quota is billed monthly at the published per-unit rates. Taxes (GST) apply per Indian law.

4. Acceptable Use

You agree not to:

• upload documents you do not have the right to process;
• upload content that is unlawful, infringing, defamatory, or contains malware;
• attempt to reverse-engineer, scrape, or circumvent rate limits or security controls;
• use the Service to facilitate violations of Indian export control or sanctions law, or of equivalent law in any destination jurisdiction; or
• resell the Service without a written Enterprise agreement.

5. Customer Content & Licence

You retain ownership of all documents and data you upload (“Customer Content”). You grant VyaptIX a worldwide, non-exclusive, royalty-free licence to host, process, transmit, and display Customer Content solely to operate and improve the Service for you. We do not use Customer Content to train third-party foundation models. We may use aggregated, de-identified statistics to improve our classifiers.

6. Confidentiality

Each party will protect the other’s confidential information with the same care it uses for its own (and no less than reasonable care), and will use it only for the purposes contemplated by these Terms.

7. Third-Party Services

The Service relies on third-party providers — including Anthropic (LLM inference), Voyage AI (embeddings), Cohere (rerank), Supabase (database + storage), Vercel (hosting), Inngest (workflows), Razorpay (payments), Sentry (error tracking), PostHog (product analytics), Langfuse (model observability), and Resend / Gmail SMTP (email). We disclose categories in our Privacy Policy. Their terms apply to their portion of the Service.

8. Disclaimers

The Service is provided “AS IS” and “AS AVAILABLE”. To the maximum extent permitted by law, VyaptIX disclaims all warranties — express, implied, or statutory — including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of any AI-generated output. Classifications, FTA evaluations, RoDTEP estimates, CBAM computations, and EUDR verdicts are advisory and must be independently verified.

9. Limitation of Liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or exemplary damages, or for lost profits, revenue, or data. VyaptIX’s aggregate liability arising out of or related to the Service will not exceed the fees you paid to VyaptIX in the twelve (12) months preceding the event giving rise to the claim, or INR 25,000 if you are on the free trial. Nothing in these Terms limits liability that cannot be limited under applicable law (including fraud or wilful misconduct).

10. Indemnity

You will defend and indemnify VyaptIX against any third-party claim arising from your breach of these Terms, your Customer Content, or your use of the Service in violation of applicable law.

11. Suspension & Termination

Either party may terminate for convenience at any time. We may suspend or terminate your access immediately if we reasonably believe you have breached Section 4 (Acceptable Use) or if continued provision exposes us to legal risk. Upon termination, we will make Customer Content available for export for 30 days, after which it will be deleted in the ordinary course.

12. Governing Law & Disputes

These Terms are governed by the laws of India. The courts at Hyderabad, Telangana, will have exclusive jurisdiction, save that either party may seek interim injunctive relief in any court of competent jurisdiction.

13. Changes

We may update these Terms by posting the revised version with a new “Last updated” date. Material changes will be notified by email at least 14 days in advance. Continued use after the effective date constitutes acceptance.
